These Terms of Service ("Terms") govern your use of the boxCloud platform ("boxCloud"), operated by Alkkmia Inc. ("we," "us," or "our"). By accessing or using boxCloud, you agree to these Terms. If you do not agree, please do not use our services.
By registering for, accessing, or using boxCloud, you agree to be bound by these Terms and our Privacy Policy. If you are using boxCloud on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
boxCloud provides a Platform as a Service (PaaS) that allows users to deploy and manage applications ("Services"). The specifics of the Services may change over time, and we reserve the right to modify or discontinue Services at our discretion.
Eligibility: You must be at least 18 years old to use boxCloud.
Account Information: When creating an account, you must provide accurate information. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities conducted through your account.
Account Security: Notify us immediately of any unauthorized use of your account.
Prohibited Activities: You agree not to use boxCloud for any unlawful activities, such as spamming, distributing malware, or engaging in denial-of-service attacks.
Compliance: You are responsible for ensuring that your use of boxCloud complies with all applicable laws and regulations.
Resource Usage: Excessive use of boxCloud resources that may affect the quality of the platform for others is prohibited. We may limit or restrict accounts that compromise the stability of our platform.
Billing: boxCloud offers subscription plans, and applicable fees will be charged according to the selected plan. You agree to pay all fees when due.
Automatic Renewal: Unless otherwise specified, subscriptions will automatically renew at the end of each billing cycle. You may cancel automatic renewal at any time through your account settings.
Refunds: Fees paid are non-refundable except as required by applicable law.
Our Intellectual Property: All rights to the software, technology, and content used in boxCloud remain with Alkkmia Inc. Unauthorized use of any boxCloud materials is prohibited.
User Content: By submitting content (such as application code or data) to boxCloud, you grant us a worldwide, non-exclusive license to use, host, store, and reproduce such content solely for the purpose of operating and improving the Services.
Feedback: You may provide us with suggestions to improve our platform ("Feedback"). We may use this Feedback without any obligation to you.
Termination by User: You may terminate your account at any time by following the account settings instructions.
Termination by Us: We may suspend or terminate your access to boxCloud if you violate these Terms or if we need to comply with a legal requirement. We will make reasonable efforts to notify you before taking action.
Effect of Termination: Upon termination, your right to use the Services will cease immediately. We may delete any content you have uploaded.
boxCloud is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, Alkkmia Inc. will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising from your use of boxCloud.
You agree to indemnify and hold Alkkmia Inc. harmless from any claims, damages, liabilities, and expenses arising out of your use of boxCloud, violation of these Terms, or infringement of any third-party rights.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms will be resolved exclusively in the state or federal courts located in Delaware.
Informal Resolution: We encourage you to contact us to resolve any issues informally.
Arbitration under the Delaware Rapid Arbitration Act (DRAA): If disputes cannot be resolved informally, they will be settled by binding arbitration under the Delaware Rapid Arbitration Act (DRAA). The arbitration must be completed within 120 days of the arbitrator's appointment, unless extended for up to 60 days. If the parties cannot agree on an arbitrator, the Delaware Court of Chancery may appoint one. Once the arbitration is completed, the arbitrator’s award will be final and automatically confirmed. Any challenges to the final award may be taken directly to the Delaware Supreme Court under the applicable standard of review.
We may update these Terms from time to time. We will provide notice of significant changes, and your continued use of boxCloud after any changes constitutes acceptance of the new Terms.
Severability: If any part of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
Waiver: Our failure to enforce any part of these Terms is not a waiver of our right to enforce later.
